Legal Counsel – Riyadh, Saudi Arabia

Position Summary

We are seeking an experienced Legal Counsel to be based in Riyadh to support the company’s legal, regulatory, and compliance needs in Saudi Arabia. The role involves advising management on legal risks, ensuring compliance with local laws and regulations, drafting and reviewing contracts, and liaising with regulators, external counsel, and business stakeholders.

Key Responsibilities

Provide day-to-day legal advice to management and business units on Saudi laws, regulations, and regulatory developments.

Draft, review, negotiate, and manage a wide range of contracts, including commercial agreements, IT/technology contracts, vendor agreements, NDAs, and partnership agreements.

Ensure compliance with Saudi Arabian laws and regulations, including commercial law, labor law, company law, data protection, and sector-specific regulations.

Support corporate governance matters, including board resolutions, powers of attorney, company registrations, and regulatory filings.

Advise on employment-related matters, including Saudization (Nitaqat), disciplinary actions, terminations, and policy development.

Coordinate with external legal counsel and law firms on litigation, arbitration, and specialized legal matters.

Identify legal risks and propose practical, business-oriented solutions.

Support dispute resolution, claims management, and litigation strategy when required.

Assist in developing and maintaining internal policies, compliance programs, and contract templates.

Monitor changes in Saudi laws and regulations and assess their impact on the business.

Qualifications & Experience

Bachelor’s degree in Law (LLB); Juris Doctor (JD) or Master’s degree in Law is preferred.

Licensed or qualified to practice law in at least one jurisdiction; Saudi qualification is a strong advantage.

2 – 5 years of relevant legal experience, preferably with exposure to Saudi Arabia or the GCC region.

Experience in corporate/commercial law; experience in IT, technology, telecom, or regulated industries is a plus.

Strong knowledge of Saudi legal and regulatory framework.

Proven experience drafting and negotiating complex commercial contracts.
